Summary of Role:
Royal Neighbors of America is searching for a Deputy General Counsel. This role is responsible for advising the organization concerning legal rights, obligations, and privileges.

Essential Duties and Responsibilities:
•Studies Constitution, statutes, decisions, as well as ordinances of quasi-judicial bodies.
•Interprets laws, rulings, and regulations for corporation; counsels business stakeholders accordingly.
•Represents Society in litigation and other legal proceedings.
•Advises corporation concerning transactions of business involving internal affairs, members, directors, officers and corporate relations with general public.
•Prepares business contracts, loan documents for new and refinanced mortgages and other loans and administers other legal matters.
•Review and advise investments on alternative investment purchases including private equity and mezzanine financing.
•Handles legal matters relating to real estate transactions on Society owned real estate, including investment properties.
•Advise on matters relating to intellectual property, including trade names, domain names and service names and marks.
•Prepares, revises and negotiates vendor and other contracts.
•Serves as Secretary to Society’s foundation.
•Maintain corporate records and filings for Society’s subsidiary, and foundation.
•Provide assistance and support to Corporate Secretary regarding the Society’s organizational documents, record keeping, required state and federal filings, and support services to the Board of Directors.
•Provide assistance and support to the General Counsel regarding insurance coverage and risk management issues for the Society.
•Member of Investment Advisory Group, Reinsurance and Product Development Committee.
•Counsels, provides advice and support to various departments throughout the Society regarding; investments, employment law matters and insurance administration and contestable claims matters.
•Manages Product Filing Agent Contracting and Legal support staff.
•Performs other duties and administers other legal matters as assigned by the General Counsel.

Supervisory Responsibilities:
Carries out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.

Qualifications:

Education and/or Experience:
Bachelor's degree (B. A.) from four-year college or university; Law degree from an accredited law school, and five to ten years related experience.

Entry, Basic, Mid, and Advanced -level Life Office Management Association (LOMA) courses will be required upon acceptance of position.

Certificates, Licenses, Designations, Registrations:
LOMA Level 1 certificate required. License to practice law in Illinois, the Society's domicile. Fellow, Life Management Institute (FLMI), Associate, Life and Health Claims (ALHC), Associate, Insurance Regulatory Compliance (AIRC), and Associate, Customer Service (ACS) Designations preferred. AZ license to practice law preferred.

Mathematical Skills: Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. Ability to compute percent and to draw and interpret bar graphs.

Computer Skills: To perform this job successfully, an individual should have knowledge of Database software; Internet software; Microsoft Excel. Word and Outlook.

Industry Competencies:
Life insurance and annuity product knowledge, compliance and regulations. Life insurance agent contracting.

Language Skills:
Ability to read, analyze, and interpret common scientific and technical journals, financial reports, and legal documents. Ability to respond to common inquiries or complaints from customers, regulatory agencies, or members of the business community. Superb verbal and written communication skills, including ability to effectively present information to top management, public groups, and/or boards of directors.

Reasoning Ability:
Ability to define problems, collect data, establish facts, select strategies, and draw valid conclusions. Ability to deal with several abstract and concrete variables.
